Terms of Service

1. Acceptance of Terms

By accessing and using RosterMD (the "Service"), a product of Doha Dynamics ("we," "our," or "us"), you ("User," "you," or "your") agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service.

These Terms constitute a legally binding agreement between you and Doha Dynamics. Your organization's contract with Doha Dynamics (the "Master Agreement") may contain additional terms that supplement these Terms.

2. Service Description

RosterMD is a cloud-based workforce scheduling and roster management platform designed for healthcare organizations. The Service provides:

  • Automated shift scheduling and optimization
  • Doctor preference and unavailability management
  • Workload balancing and constraint enforcement
  • Roster review, export, and publishing capabilities
  • Role-based access controls and audit logging

We reserve the right to modify, suspend, or discontinue any feature of the Service at any time with reasonable notice.

3. User Accounts and Access

3.1 Account Creation

User accounts are created and managed by your organization's system administrator. You are responsible for:

  • Maintaining the confidentiality of your login credentials
  • All activities that occur under your account
  • Notifying your administrator immediately of any unauthorized access

3.2 User Roles

The Service supports the following user roles:

  • Super Admin: Full system access, user management, configuration
  • Roster Manager: Create blocks, assign doctors, solve rosters, approve requests
  • Viewer: Read-only access to rosters and reports
  • Doctor: View own schedule, submit preferences and unavailability

3.3 Account Security

You agree to:

  • Use a strong password (minimum 8 characters recommended)
  • Log out after each session on shared devices
  • Not share your credentials with any third party
  • Report security incidents to your administrator immediately

4. License and Restrictions

4.1 Limited License

Subject to these Terms, we grant you a non-exclusive, non-transferable, revocable license to access and use the Service for your organization's internal business purposes.

4.2 Restrictions

You agree NOT to:

  • Reverse engineer, decompile, or disassemble the Service
  • Copy, modify, or create derivative works of the Service
  • Rent, lease, sell, or sublicense access to the Service
  • Use the Service for any unlawful purpose or in violation of applicable regulations
  • Attempt to gain unauthorized access to any systems or networks
  • Introduce viruses, malware, or other malicious code
  • Scrape, harvest, or mine data from the Service using automated tools
  • Overload or impair the Service infrastructure

5. User Responsibilities

You are responsible for:

  • Data Accuracy: Ensuring all information you provide (preferences, unavailability, employee data) is accurate and up-to-date
  • Compliance: Using the Service in compliance with all applicable laws, including HIPAA, labor laws, and employment regulations
  • Appropriate Use: Using the Service only for legitimate workforce scheduling purposes
  • Data Classification: Not entering patient PHI or other sensitive data beyond what is necessary for scheduling

6. Data Security and Privacy

6.1 Data Ownership

Your organization retains ownership of all data entered into the Service. Doha Dynamics processes your data solely to provide the Service as described in our Privacy Policy.

6.2 HIPAA Compliance

For healthcare organizations subject to HIPAA, a Business Associate Agreement (BAA) is required. Contact your account representative to execute a BAA.

6.3 Data Backups

We perform regular automated backups. However, you are responsible for maintaining your own copies of critical data. We are not liable for data loss due to user error, system failures, or force majeure events.

7. Service Availability and Support

7.1 Uptime

We strive to maintain 99.9% uptime (excluding scheduled maintenance). Service Level Agreements (SLAs) are defined in your Master Agreement.

7.2 Maintenance

We may perform scheduled maintenance with advance notice. Emergency maintenance may be performed without notice to address critical security or stability issues.

7.3 Support

Support is available via email at support@dohadynamics.com or through the Support Portal. Support hours and response times are defined in your Master Agreement.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED
  • WE DO NOT GUARANTEE THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR MEET YOUR SPECIFIC REQUIREMENTS
  • WE ARE NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES
  • OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOUR ORGANIZATION FOR THE SERVICE IN THE 12 MONTHS PRECEDING THE CLAIM

Important: RosterMD is a scheduling tool. Final roster approval and compliance with labor laws, accreditation standards, and clinical safety requirements remain the responsibility of your organization's administrators and clinical leadership.

9. Indemnification

You agree to indemnify, defend, and hold harmless Doha Dynamics from any claims, liabilities, damages, and expenses (including legal fees) arising from:

  • Your violation of these Terms
  • Your misuse of the Service
  • Your violation of any law or third-party rights
  • Data you provide to the Service

10. Termination

10.1 By You

Your organization may terminate the Service by providing written notice per the Master Agreement. Individual user accounts may be deactivated by your system administrator.

10.2 By Us

We may suspend or terminate your access if:

  • You violate these Terms
  • Your organization fails to pay fees
  • We are required to do so by law
  • Continued use poses a security risk

10.3 Effect of Termination

Upon termination, your access will be revoked. We will retain your data for the period specified in the Master Agreement (typically 30 days) to allow for data export, after which it will be deleted unless required by law.

11. Intellectual Property

All intellectual property rights in the Service, including software, algorithms, designs, and documentation, are owned by Doha Dynamics. These Terms do not grant you any rights to our trademarks, logos, or branding.

12. Changes to Terms

We may update these Terms from time to time. Material changes will be communicated via email or in-app notification at least 30 days before taking effect. Continued use after changes constitutes acceptance.

13. Governing Law and Disputes

These Terms are governed by the laws specified in your Master Agreement. Any disputes shall be resolved through arbitration or the dispute resolution process outlined in the Master Agreement.

14. Miscellaneous

  • Entire Agreement: These Terms, together with the Master Agreement and Privacy Policy, constitute the entire agreement
  • Severability: If any provision is found unenforceable, the remaining provisions remain in effect
  • Waiver: Failure to enforce any provision does not constitute a waiver
  • Assignment: You may not assign these Terms without our written consent
  • Force Majeure: We are not liable for delays or failures due to events beyond our reasonable control
